is ACID Pro 2.0 retail box one of those audio programs which you can use to mix and stuff ??

Yeah, it's a loop-based audio composition program. You can load wav files of any kind in it and sync them, create volume/pan envelopes, export to different file formats like RealMedia, WMA, etc.

alot of win98 programs run fine in winXP if u enable win98 compatible mode for teh app
