NIC and dial up adapter conflicting??

When I install my NIC and setup an IP address its not evident in winipcfg, only my PPP dial up adapter. However if I remove the dial up adapter and install the NIC first I can see the NIC and the IP address in winipcfg and talk with TCP/IP no probs.
Of course this means I have no working Internet connection. For some reason I cant have both things showing in winipcfg. Does anyone know why this might be happening and how I can fix it??? So far I have tried installing and uninstalling both the NIC and dial up adapter in different sequence but this hasnt helped.
PC#2 has both the NIC and dialup adapter installed just fine. I CAnt work this one out.

Any help is very appreciated.

Sorry, I forgot to mention Im running Win98SE
and that both the NIC and Dialup adapter appear fine in Device Manager.

Make sure the IRQs have not changed. Verify that the Dial Up Adapter is working and then note the IRQ. Next install the NIC and verify that the Dial Up Adapter still has the same IRQ as it did when it was working. If not, change it to the correct value and figure out which IRQ is available for the NIC card.
