i want to setup a network between two computers that i have .
i have got 2 Nic's and a switch with me.
can i setup my network with this and can someone tell me step by step procedures plzzz

Pretty much handled for you with the XP network setup wizard...in your control panel.

Do you have a router, do these PCs have internet access?

i dont have a router i have a switch and 2 nicc thts all.
both of the pc has Ie acess

So both PCs have broadband internet? Do you have a cable or DSL modem plugged into the switch?
